Kin Beta Program

Beta Test Agreement

New Standard Technology, Inc. — Version 1.0 — Effective upon electronic acceptance.

This Beta Test Agreement ("Agreement") is between New Standard Technology, Inc., a Delaware corporation ("New Standard," "we," "us," or "our"), and you ("Tester," "you," or "your"). By clicking "I Agree" or otherwise accessing or using the Kin beta software, you agree to be bound by this Agreement. If you do not agree, do not install, access, or use the Beta Software.

1. What You're Testing

"Beta Software" means the pre-release version of Kin made available to you for testing, including the Kin Server application, the Kin mobile application, and any related services, updates, or documentation provided during the beta program.

2. This Is Beta Software

The Beta Software is an early, pre-release version provided strictly for evaluation and testing. IT IS NOT A FINISHED PRODUCT. It may contain bugs, errors, and other problems that could cause instability, unexpected behavior, incorrect or nonsensical output, data loss, or complete failure. Features may change, break, or be removed without notice. New Standard may suspend, modify, or discontinue the Beta Software, or your access to it, at any time and for any reason, without liability to you. You should not rely on the Beta Software for any purpose where instability, downtime, or data loss could cause harm, and you are solely responsible for maintaining independent backups of anything you don't want to lose.

3. Eligibility

You must be at least 18 years old to accept this Agreement. If you invite a family member who is under 18 to use Kin under your account, you represent that you are their parent or legal guardian (or have obtained the consent of their parent or legal guardian), and you accept full responsibility for their use of the Beta Software and their compliance with this Agreement.

4. License Grant

Subject to this Agreement, New Standard grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Beta Software solely to evaluate it and provide feedback during the beta program, for your personal, non-commercial use.

5. Restrictions

You agree not to:

  • reverse engineer, decompile, or disassemble the Beta Software, except to the extent applicable law expressly permits;
  • copy, sell, rent, lease, sublicense, distribute, or otherwise make the Beta Software available to any third party;
  • use the Beta Software to build or inform a competing product or service;
  • remove or alter any proprietary notices in the Beta Software; or
  • publicly disclose your participation in the beta program, or share screenshots, recordings, or descriptions of the Beta Software, except as permitted under the Non-Disclosure Agreement referenced in Section 9.

6. Feedback

If you provide feedback, bug reports, suggestions, or other input about the Beta Software ("Feedback"), you grant New Standard a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that Feedback into any product or service, without any obligation or compensation to you.

7. Your Data

Kin is built to run entirely on your own hardware, and your private data is not accessible to New Standard by design. If you report a bug through the in-app tool, only technical diagnostic information is collected — your message content and private memories are never included. Because this is beta software, bugs may still cause data to be lost, corrupted, or become inaccessible. New Standard is not responsible for any data loss that occurs during the beta program, and strongly recommends you back up anything important independently.

8. No Warranty

THE BETA SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. NEW STANDARD DOES NOT WARRANT THAT THE BETA SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA WILL BE PRESERVED.

9. Confidentiality

Your confidentiality obligations with respect to the Beta Software, and any non-public information you learn about New Standard or Kin in connection with the beta program, are governed by the Non-Disclosure Agreement you have separately executed with New Standard, which is incorporated into this Agreement by reference.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEW STANDARD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE BETA SOFTWARE, EVEN IF NEW STANDARD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NEW STANDARD'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Term and Termination

This Agreement is effective when you accept it and continues until the earlier of: (a) the end of the beta program, (b) New Standard terminating your access, or (c) you uninstalling the Beta Software and discontinuing use. Either party may terminate this Agreement at any time, for any reason. Sections 5 through 14 survive termination.

12. Intellectual Property

New Standard retains all right, title, and interest in and to the Beta Software, including all related intellectual property rights. Nothing in this Agreement transfers any ownership rights to you.

13. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of this Agreement will be resolved in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.

14. Miscellaneous

This Agreement, together with the NDA referenced in Section 9, is the entire agreement between you and New Standard regarding the beta program and supersedes any prior agreements on this subject. New Standard may update this Agreement from time to time; material changes will be presented to you for re-acceptance. You may not assign this Agreement. If any provision is found unenforceable, the remaining provisions remain in effect. Nothing in this Agreement creates a partnership, employment, or agency relationship between you and New Standard.
